2. Use of This Website

You agree to use this website only for lawful purposes and in a manner that does not:

  • Violate any applicable law or regulation.
  • Infringe upon the rights of another person or organization.
  • Attempt to gain unauthorized access to the website or its systems.
  • Introduce malicious code, viruses, or other harmful material.
  • Interfere with the normal operation or security of the website.
  • Copy, reproduce, or distribute website content without permission.

We reserve the right to restrict or terminate access to the website if we reasonably believe these Terms & Conditions have been violated.

3. Service Engagement

Before beginning a project, the client may receive a proposal, quotation, project scope, timeline, or other written agreement describing the services to be provided.

The project will generally begin after the client has:

  1. Confirmed acceptance of the proposal or quotation.
  2. Provided the required information, content, credentials, and materials.
  3. Paid any applicable advance or initial payment.

Any work outside the agreed scope may be treated as additional work and may result in additional charges.

4. Client Responsibilities

To complete a project effectively, the client is responsible for providing accurate and timely information, including where applicable:

  • Website content and copy.
  • Images, logos, videos, and other media.
  • Brand guidelines.
  • Hosting and domain information.
  • WordPress or other required login credentials.
  • Product information for eCommerce websites.
  • Business information and contact details.
  • Feedback and approvals.

The client confirms that they have the necessary rights, licenses, and permissions to provide any materials supplied for use on the website.

Delays in providing required materials, credentials, approvals, or feedback may affect the project timeline.

5. Project Scope and Additional Work

Services are provided according to the agreed project scope.

Requests that fall outside the original scope may include, for example:

  • Additional pages.
  • Additional website features.
  • New functionality.
  • Additional design revisions.
  • New integrations.
  • Additional content entry.
  • Changes to previously approved work.
  • Major changes to the project direction.

Additional work may be quoted separately and will only be undertaken after appropriate approval.

6. Payments and Fees

Project fees, payment schedules, deposits, and applicable taxes or charges will be communicated to the client before or during the project engagement.

Unless otherwise agreed in writing:

  • An advance payment may be required before work begins.
  • The remaining balance is payable according to the agreed payment schedule.
  • Work may be paused if an agreed payment becomes overdue.
  • Additional services may incur additional charges.

All payment terms specified in an individual proposal, quotation, or agreement will take precedence over general information on this website.

7. Revisions and Approvals

The number of revisions included in a project, if any, will be specified in the relevant proposal or agreement.

The client is responsible for reviewing and approving designs, content, functionality, and other deliverables.

Once a design, page, feature, or project milestone has been approved, subsequent changes may be considered additional work.

8. Project Timelines

Estimated project timelines will be communicated based on the project scope and availability of required information and materials.

Timelines may be affected by:

  • Delayed client feedback.
  • Delayed content or asset delivery.
  • Hosting or domain issues.
  • Third-party service interruptions.
  • Changes in project requirements.
  • Additional work requested by the client.
  • Technical issues outside our reasonable control.

Any timeline provided should therefore be considered an estimate unless a specific completion date has been expressly agreed in writing.

9. Third-Party Services and Software

WordPress websites may use third-party themes, plugins, hosting providers, APIs, payment gateways, fonts, software, or other services.

Third-party products and services may have their own:

  • Terms and conditions.
  • Privacy policies.
  • Licensing requirements.
  • Subscription fees.
  • Usage restrictions.
  • Availability limitations.

PREM RAI is not responsible for changes, failures, discontinuation, security vulnerabilities, pricing changes, or compatibility issues caused by third-party services.

Where a third-party subscription or license is required, the client may be responsible for purchasing and maintaining that subscription unless otherwise agreed.

10. Website Content

The client is responsible for ensuring that all information published on their website is accurate, lawful, and appropriate.

This includes:

  • Text and written content.
  • Images and graphics.
  • Product information.
  • Testimonials.
  • Claims about products or services.
  • Legal notices.
  • Copyrighted materials.
  • Contact information.

PREM RAI does not guarantee the legal compliance or accuracy of client-supplied content.

Clients should obtain independent legal advice where their website requires specific legal documents or regulatory compliance.

11. Intellectual Property

Unless otherwise agreed in writing, ownership of the final website deliverables will be handled according to the terms of the applicable project agreement.

Third-party themes, plugins, software, stock assets, fonts, or other licensed materials remain subject to their respective licenses.

PREM RAI may retain ownership or licensing rights to:

  • Pre-existing code.
  • Development frameworks.
  • Reusable components.
  • Tools and processes.
  • General development techniques.
  • Proprietary resources.

Nothing in these Terms transfers ownership of third-party intellectual property beyond the rights granted under the applicable license.

12. Portfolio and Promotional Use

Unless otherwise agreed in writing, PREM RAI may display completed projects in its portfolio, website, social media, presentations, or other promotional materials for the purpose of demonstrating previous work.

If a project contains confidential information or the client requires the work to remain private, the client should communicate this requirement before project completion.

13. Website Security and Maintenance

Reasonable measures may be taken to improve website security and performance when such services are included in the project.

However, no website can be guaranteed to be completely secure or free from vulnerabilities.

Security can be affected by:

  • Outdated WordPress versions.
  • Outdated plugins or themes.
  • Weak passwords.
  • Hosting configuration.
  • Third-party services.
  • Malware or unauthorized access.
  • Client modifications.
  • Server-level issues.

Ongoing maintenance, updates, backups, monitoring, and security services may require a separate maintenance agreement.

14. Backups

Where backups are included as part of a service, reasonable efforts will be made to create or maintain backups according to the agreed service scope.

Clients are encouraged to maintain independent backups of important website data.

PREM RAI shall not be responsible for loss of data resulting from circumstances beyond reasonable control, particularly where backups were not included or maintained.

15. Website Performance and SEO

Website speed optimization and technical improvements may be performed as part of an agreed service.

However, website performance can depend on hosting, server configuration, third-party services, plugins, themes, media files, network conditions, and other factors.

Similarly, SEO-related services do not guarantee specific search engine rankings, traffic levels, leads, sales, or revenue.

Search engines control their own algorithms and ranking systems.

16. Third-Party Hosting and Domain Services

Domain registration and hosting services may be provided by independent third-party companies.

PREM RAI does not control third-party hosting or domain providers and cannot guarantee their uptime, availability, security, performance, or pricing.

The client remains responsible for maintaining ownership and payment of their domain and hosting accounts unless otherwise agreed.

17. Cancellation or Termination

Either party may request termination of a project subject to the terms of the applicable agreement.

If a project is cancelled after work has begun:

  • Fees for completed work may remain payable.
  • Non-refundable third-party costs may remain payable.
  • Deposits or advance payments may be treated according to the agreed proposal or contract.
  • Completed work may not be released until outstanding payments are settled.

Specific cancellation and refund terms may be stated in the relevant project agreement.

18. Refunds

Refund eligibility, where applicable, will depend on the specific service agreement, proposal, or quotation.

Because website development involves time, professional services, development work, and potentially non-refundable third-party expenses, payments may not automatically be refundable once work has commenced.

Any applicable refund will be handled according to the agreed terms between PREM RAI and the client.

19. Limitation of Liability

To the maximum extent permitted by applicable law, PREM RAI will not be liable for indirect, incidental, special, consequential, or business-related losses arising from the use of a website, services, third-party platforms, hosting providers, plugins, software, or other external services.

This may include loss of:

  • Revenue.
  • Business opportunities.
  • Data.
  • Profits.
  • Customers.
  • Reputation.
  • Website traffic.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

20. No Guarantee of Business Results

Website development and digital services can support a business’s online presence, but specific business results cannot be guaranteed.

PREM RAI does not guarantee:

  • A specific number of leads.
  • A specific amount of sales.
  • Search engine rankings.
  • Website traffic.
  • Conversion rates.
  • Revenue.
  • Business growth.
  • Customer acquisition.

Business results depend on numerous factors outside the control of the website developer.

21. Force Majeure

PREM RAI will not be responsible for delays or failure to perform caused by circumstances reasonably outside our control.

Such circumstances may include:

  • Natural disasters.
  • Internet or infrastructure failures.
  • Hosting outages.
  • Cyberattacks.
  • Government actions.
  • Power failures.
  • Third-party service disruptions.
  • Widespread technical failures.
  • Other unforeseen events.

Reasonable efforts will be made to resume services when circumstances permit.

22. Confidentiality

Information shared by a client that is reasonably understood to be confidential will be treated with reasonable care and will not knowingly be disclosed to unauthorized parties, except where disclosure is required by law or necessary to provide an agreed service.

Clients should clearly identify highly confidential information when sharing it.

23. External Links

This website may contain links to third-party websites or services.

These links are provided for convenience or informational purposes. PREM RAI does not control and is not responsible for the content, security, privacy practices, availability, or policies of third-party websites.

Visiting external websites is at your own discretion.

24. Changes to These Terms

PREM RAI reserves the right to update or modify these Terms & Conditions from time to time.

Changes will become effective when the revised Terms & Conditions are published on this page, unless otherwise stated.

You are encouraged to review this page periodically for updates.

25. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of India.

Any disputes arising from these Terms or the services provided by PREM RAI shall be subject to the applicable jurisdiction of the courts in India, unless otherwise agreed in writing or required by applicable law.

26. Severability

If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable, that provision shall be limited or removed to the extent necessary, while the remaining provisions will continue to remain effective.

27. Entire Agreement

These Terms & Conditions, together with any applicable proposal, quotation, statement of work, contract, or written agreement, constitute the understanding between PREM RAI and the client regarding the relevant services.

Where a specific written agreement conflicts with these general Terms & Conditions, the specific written agreement will generally govern the relevant project or service.
